These Terms of Service (“Terms”) govern access to and use of Foreshadow AI, including **Foreshadow AI Marketing**, **Foreshadow AI Trading**, related websites, applications, artificial-intelligence systems, automated services, APIs, integrations, software, content, and other services made available by **[LEGAL COMPANY NAME]** (“Foreshadow,” “we,” “us,” or “our”).

By creating an account, starting a trial, purchasing or using a subscription, connecting a third-party account, enabling an automated feature, or otherwise accessing the Services, you agree to these Terms.

If you use the Services for or on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

## 1. The Foreshadow Services

Foreshadow provides technology intended to assist businesses and individuals with automated or AI-assisted activities.

### Foreshadow AI Marketing

Foreshadow AI Marketing may provide features including marketing strategy, content creation, advertising operations, analytics, search-engine optimization, social-media publishing, campaign management, customer or prospect communications, lead generation, affiliate and partnership management, website-related activities, reporting, creative production, research, and other marketing or growth activities.

Depending on the features you enable and the third-party accounts you connect, Foreshadow may autonomously perform authorized actions on your behalf.

### Foreshadow AI Trading

Foreshadow AI Trading may provide software, analysis, market information, signals, portfolio tools, automated or semi-automated trading functionality, broker integrations, algorithmic strategies, alerts, and related technology.

Available functionality may vary by subscription, account, jurisdiction, third-party provider, and technical availability.

## 2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement and meet any applicable minimum-age requirements to use the Services.

You are responsible for maintaining accurate account information and protecting your login credentials. You are responsible for activity performed through your account unless caused by a security failure attributable to Foreshadow.

You must promptly notify us if you believe your account, credentials, connected accounts, API credentials, or authentication tokens have been compromised.

## 3. Artificial Intelligence and Automation

The Services use artificial intelligence, machine learning, deterministic software, automation, third-party APIs, and other systems.

AI-generated or automated outputs may be incomplete, inaccurate, outdated, inappropriate for a particular situation, or different from what a human professional would produce.

Foreshadow may perform actions automatically when you enable autonomous functionality. Those actions may include creating or modifying content, communicating with third parties, changing campaign settings, publishing material, allocating authorized advertising budgets, analyzing information, or, where separately enabled for Foreshadow AI Trading, submitting or managing trading instructions through connected systems.

You are responsible for selecting the permissions, limits, budgets, controls, and connected accounts that you make available to the Services.

Foreshadow may use technical safeguards, spending limits, approval requirements, quality controls, rate limits, anomaly detection, risk controls, or other restrictions intended to reduce errors or misuse. These safeguards do not eliminate all risk.

## 4. Third-Party Services and Integrations

The Services may integrate with third-party products and platforms, including advertising networks, social networks, analytics providers, search engines, website platforms, payment services, email providers, communications services, brokerages, financial-data providers, cloud services, and other technology providers.

Examples may include Google, YouTube, Microsoft, Meta, X, Reddit, TikTok, Stripe, WordPress, Buffer, ElevenLabs, Interactive Brokers, and other providers.

Your use of a third-party service remains subject to that provider’s terms, policies, pricing, technical limitations, permissions, account restrictions, and availability.

Foreshadow does not control third-party services and is not responsible for their outages, suspensions, policy changes, API changes, account actions, data errors, execution failures, delays, or other conduct.

Granting Foreshadow access to a third-party account authorizes Foreshadow to use the permissions you approve solely to provide enabled Services and related functionality, subject to our Privacy Policy.

You may revoke a third-party connection, although doing so may prevent associated Foreshadow features from functioning.

## 5. Foreshadow AI Marketing — Client Responsibilities

You are responsible for the legality, accuracy, ownership, and appropriateness of the products, services, claims, offers, pricing, promotions, business information, customer data, intellectual property, and other materials you provide or authorize Foreshadow to use.

You are responsible for ensuring that your business and campaigns comply with applicable advertising, privacy, consumer-protection, anti-spam, endorsement, intellectual-property, industry-specific, and other laws and regulations.

You must not instruct Foreshadow to engage in unlawful, deceptive, fraudulent, abusive, infringing, or unauthorized marketing activity.

You are responsible for advertising and other third-party spending that you authorize through connected accounts, subject to any applicable controls or limits established through the Services.

## 6. No Marketing Performance Guarantee

Marketing results depend on many factors outside Foreshadow’s control, including market conditions, competition, product quality, pricing, brand reputation, advertising-platform decisions, audience behavior, website performance, budgets, third-party algorithms, and customer demand.

Foreshadow does not guarantee any particular number of leads, customers, impressions, clicks, conversions, sales, revenue, profit, return on advertising spend, search ranking, audience growth, or other marketing result.

Forecasts, recommendations, projections, experiments, rankings, or expected results are estimates and not guarantees.

## 7. Foreshadow AI Trading — Important Risk Disclosure

**Trading and investing involve substantial risk of loss. You may lose some or all of the money committed to trading or investment activity.**

Financial markets may move rapidly and unpredictably. Automated systems may experience latency, connectivity failures, incomplete data, erroneous data, software defects, broker errors, exchange interruptions, unexpected executions, missed executions, slippage, liquidity constraints, price gaps, or other conditions that materially affect results.

No trading strategy can guarantee profitability or prevent losses.

Past performance, backtests, simulations, hypothetical results, model outputs, historical statistics, performance illustrations, and prior trading results do not guarantee future performance.

You are solely responsible for determining whether any trading or investment activity is appropriate for your objectives, financial circumstances, risk tolerance, and legal or regulatory situation.

## 8. No Investment, Legal, Tax, or Accounting Advice

Unless expressly stated in a separate written agreement applicable to a specific regulated service, information or functionality provided through Foreshadow AI Trading is provided as software, analytical information, automation, or decision-support functionality and should not be treated as personalized legal, tax, accounting, or professional financial advice.

Nothing in the Services guarantees that any security, asset, investment, portfolio, strategy, signal, or transaction is suitable for you.

You should consult appropriately qualified professionals where professional advice is required.

## 9. Brokerage and Market-Data Providers

Foreshadow may interact with brokerage, exchange, financial-data, market-data, or execution providers selected or authorized by you.

Brokerages and other third parties—not Foreshadow—may hold customer funds and securities, determine whether orders are accepted, execute transactions, calculate official account balances, impose margin requirements, reject orders, halt trading, or otherwise control brokerage functionality.

You remain subject to all agreements, disclosures, commissions, fees, margin requirements, trading permissions, market-data terms, and other requirements imposed by your brokerage and other providers.

Foreshadow is not responsible for losses caused by inaccurate or delayed third-party data, broker outages, rejected orders, execution quality, exchange actions, third-party restrictions, or circumstances beyond Foreshadow’s reasonable control.

## 10. Automated Trading Authorization

Where you enable automated trading functionality, you authorize the Services to transmit trading-related instructions to your connected brokerage account within the functionality, permissions, strategies, and controls you have enabled.

You are responsible for monitoring your brokerage account and maintaining sufficient capital, permissions, subscriptions, connectivity, account status, and risk settings.

You may disable automated functionality using available controls, but actions already submitted to a brokerage or other external system may not always be reversible.

A command to stop, pause, disconnect, or cancel automation does not guarantee cancellation of an order or transaction that has already been transmitted, accepted, routed, or executed by a third party.

## 11. Subscriptions, Trials, Fees, and Billing

Certain Services require a paid subscription or usage-based payment.

Current prices, billing frequencies, included features, usage allowances, and applicable taxes are shown at checkout or in the applicable account interface.

Unless stated otherwise at purchase, paid subscriptions automatically renew for successive billing periods until canceled.

If a free trial is offered, eligibility and duration are determined by the offer presented at signup. We may limit free trials to one per person, business, organization, payment method, or other reasonable eligibility criterion to prevent duplicate or abusive trial use.

At the conclusion of a trial, a subscription may automatically convert to a paid subscription if that was disclosed when the trial began and you supplied a payment method for that purpose.

You authorize us and our payment providers to charge applicable subscription fees, usage charges, taxes, and other amounts disclosed to you.

Except where applicable law requires otherwise or a specific offer states otherwise, payments for periods already begun are non-refundable.

## 12. Cancellation, Pausing, and Termination

You may cancel a subscription using available account controls or the cancellation method stated in your account.

Cancellation prevents future renewal but ordinarily does not retroactively refund the current billing period unless required by law.

Certain services may provide pause controls. Pausing a service may stop new automated activity but may not reverse actions already completed or transmitted externally.

We may suspend or terminate access where reasonably necessary because of nonpayment, security risk, suspected fraud, unlawful activity, material breach of these Terms, abuse of third-party services, sanctions or legal requirements, or conduct that creates material risk to Foreshadow or others.

## 13. Usage Limits and Cost Controls

Foreshadow may impose usage limits, API limits, AI-processing limits, media-generation limits, advertising controls, trading controls, spending ceilings, rate limits, or other technical safeguards.

Some limits exist to control third-party expenses, reduce abuse, prevent runaway automation, or protect system stability.

Reaching a usage or cost limit may delay, reduce, pause, or prevent certain functionality until the applicable limit resets or is changed.

## 14. Communications, Outreach, and Consent

If you use Foreshadow to communicate with customers, prospects, affiliates, creators, partners, members of the media, or other third parties, you are responsible for ensuring that the communication is legally permitted.

You must not use the Services to send unlawful spam, evade opt-out requests, impersonate another party, misrepresent material facts, or contact persons where you do not have a lawful basis to do so.

Where the Services maintain unsubscribe, suppression, consent, or communication-preference records, you must not intentionally circumvent those controls.

## 15. Affiliate and Partnership Features

Foreshadow may provide tools for affiliates, referral partners, creators, influencers, or business partners.

Commercial terms displayed in a specific offer, affiliate agreement, partnership proposal, or other written arrangement supplement these Terms.

You are responsible for complying with applicable disclosure, endorsement, advertising, tax, and payment requirements associated with your programs.

## 16. Your Content

You retain ownership of content and materials you provide to Foreshadow.

You grant Foreshadow a limited, non-exclusive license to host, process, reproduce, modify, format, transmit, display, or otherwise use that content as reasonably necessary to provide, maintain, secure, and improve the Services and to carry out actions you authorize.

You represent that you have the rights necessary to provide such content and authorize its use.

## 17. Generated Content

Subject to applicable law and third-party rights, you may use content generated for you through the Services for your business purposes.

AI-generated material may not always be unique, and similar or identical material may be generated for other users.

You are responsible for reviewing generated content where review is legally or commercially necessary, including claims, disclosures, trademarks, copyrighted material, regulated statements, and factual assertions.

## 18. Intellectual Property

The Foreshadow name, software, systems, interfaces, workflows, designs, models, documentation, branding, and other proprietary materials provided by us are owned by or licensed to Foreshadow and are protected by applicable intellectual-property laws.

Except as expressly permitted, you may not copy, reverse engineer, resell, sublicense, scrape, circumvent access controls for, or create unauthorized derivative commercial services from proprietary portions of the Services.

## 19. Acceptable Use

You may not use the Services to violate law; commit fraud; infringe intellectual-property or privacy rights; distribute malicious software; interfere with systems or accounts; defeat security, spending, safety, or access controls; conduct unauthorized surveillance; manipulate markets unlawfully; engage in prohibited trading practices; mislead consumers; or facilitate activity prohibited by applicable third-party platforms.

We may take reasonable steps to prevent or investigate suspected misuse.

## 20. Privacy and Data

Our collection and use of personal information are described in the **Foreshadow AI Privacy Policy**, which is incorporated into these Terms by reference.

Connected-account information and OAuth data are used subject to the permissions you grant and applicable provider requirements.

Where Foreshadow accesses information received from Google APIs, our use and transfer of that information will comply with the Google API Services User Data Policy, including applicable Limited Use requirements.

## 21. Security

We use reasonable technical and organizational measures intended to protect the Services and information under our control.

No internet-connected system is completely secure. We cannot guarantee that unauthorized access, data loss, cyberattack, service disruption, or other security incidents will never occur.

You are responsible for maintaining appropriate security for your own devices, credentials, third-party accounts, API keys, broker accounts, and personnel.

## 22. Service Availability and Changes

We may modify, add, remove, improve, discontinue, or replace features as the Services evolve.

We do not guarantee continuous or error-free operation.

Maintenance, provider outages, API changes, legal requirements, security events, infrastructure failures, market events, excessive load, or circumstances outside our control may interrupt functionality.

We may change these Terms from time to time. Material changes will be communicated as required by applicable law. Continued use after updated Terms become effective constitutes acceptance where legally permitted.

## 23. Beta and Experimental Features

Some features may be designated beta, preview, experimental, early access, or similar.

Such features may be incomplete, change without notice, contain additional errors, or be discontinued.

## 24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FORESHADOW DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.

FORESHADOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, PROFITABLE, OR SUITABLE FOR ANY PARTICULAR BUSINESS, MARKETING, TRADING, OR INVESTMENT OBJECTIVE.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

## 25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORESHADOW AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; TRADING OR INVESTMENT LOSSES; ADVERTISING LOSSES; OR LOSSES RESULTING FROM THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORESHADOW’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FORESHADOW FOR THE APPLICABLE SERVICE DURING THE [THREE/SIX/TWELVE] MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) [MINIMUM AMOUNT REQUIRED OR SELECTED UNDER APPLICABLE LAW].

The foregoing limitations apply only to the extent permitted by applicable law.

## 26. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Foreshadow and its affiliates, personnel, and service providers from claims, damages, liabilities, costs, and reasonable legal fees arising from your unlawful use of the Services, your violation of these Terms, your content, your infringement of another party’s rights, or business activity you conduct using the Services.

This provision does not require indemnification to the extent a claim results from conduct for which indemnification cannot lawfully be required.

## 27. Governing Law and Dispute Resolution

These Terms are governed by the laws of **[GOVERNING JURISDICTION]**, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Foreshadow may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the applicable business, subject to applicable law.

## 30. Severability

If any provision of these Terms is determined to be unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will remain in effect.

## 31. Entire Agreement

These Terms, the Privacy Policy, applicable order or checkout terms, and any written service-specific agreement constitute the agreement between you and Foreshadow concerning the applicable Services and supersede prior agreements concerning the same subject matter.

If a service-specific written agreement conflicts with these general Terms, the service-specific agreement controls with respect to that service to the extent of the conflict.
